Foster Wheeler Awarded Feasibility Study for Refinery Modernization in Albania

ZUG, Switzerland--(BUSINESS WIRE)--Jan. 31, 2012-- Foster Wheeler AG (Nasdaq: FWLT) announced today that a subsidiary of its Global Engineering and Construction Group has been awarded a feasibility study by Albanian Refining & Marketing of Oil sh.a. (ARMO) relating to the modernization of two refineries, located at Ballsh and Fier in Albania.

The Foster Wheeler contract value was not disclosed and will be included in the company’s fourth-quarter 2011 bookings.

ARMO intends to modernize the existing refineries at Ballsh and Fier to restore production to the original design capacity and produce transportation fuels in line with current European Union regulations. The study is expected to be completed by mid-2012.

ARMO, a former state-owned company privatized since 2008, owns these two refineries which serve both the domestic and the Balkans’ regional markets

Petrofac Acquires KW Limited

Petrofac, the international oil & gas service provider, announces that it has acquired the entire share capital of KW Limited (KW). Based in Fetcham, near Woking, with an office in Aberdeen, KW is a high-end subsea pipeline consulting and engineering services business with an established reputation in the subsea pipeline market. As at 31 March 2011, KW had gross assets of £2.7 million. The business and its 56 employees will become part of Petrofac’s Engineering & Consulting Services business.

Kevin Williams, technical director of KW Limited, commented: “KW has built a strong reputation as a provider of high value subsea pipeline consulting and engineering and our strong technical and engineering capability provides a solid foundation for future growth. Siemens announces agreement to acquire Canadian network supplier RuggedCom Inc.

Munich, Germany, 2012-Jan-30:  Siemens has entered into an agreement with RuggedCom Inc. (TSX: RCM) to acquire all of the issued and outstanding common shares of RuggedCom by way of a friendly, board-supported takeover bid. The Canadian company listed on the Toronto Stock Exchange is a leading provider of communications and networking solutions for harsh industrial environments. The takeover bid is for C$33.00 per common share in cash, or a total transaction value of approximately C$382 million.

With annual revenues of approximately US$94 million (fiscal 2011) and approximately 360 employees, RuggedCom, headquartered in Concord, Ontario, Canada, is a leading provider of robust, industrial-quality Ethernet communication products and network solutions. These products are used primarily under rough environmental conditions – for example, in power distribution, in refineries, or in traffic control systems.

Siemens' portfolio of industrial Ethernet networking components is enjoying above-average growth rates compared to the competition. Until now, the main emphasis of Siemens' installed base in this segment has been in Europe. "RuggedCom's portfolio would be an ideal addition to our range of industrial Ethernet communication products, improving our industrial-quality router and switch offering. In addition, the acquisition would improve our footprint in the North America and the Asia-Pacific region," said Anton S. Huber, CEO of the Siemens Industry Automation Division. Huber also indicated that all of RuggedCom's and Siemens' product lines would be developed further in the next few years.
